These Terms & Conditions (“Terms”) govern your use of sdtechnologist.com and any services provided by SDTechnologist Ltd (“SDTechnologist,” “we,” “us,” or “our”), including AI & Automation, Web & App Development, Wikipedia & Content Authority services, and TechFlow CRM. By engaging our services or using our website, you agree to these Terms.

2. Our Services
We provide software development, AI automation, and Wikipedia/content authority services, along with TechFlow CRM, a business management platform. Specific scope, deliverables, and timelines for project-based work are defined in an individual quote, proposal, or Statement of Work (“SOW”) agreed with each client, which forms part of the binding agreement between us alongside these Terms.
3. Payment Terms
Payment structure depends on the service and scope of the project:
- Smaller projects: full payment due upfront before work begins.
- Larger projects: 50% deposit due before work begins, with the remaining 50% due on delivery.
- Enterprise projects: payment divided into milestones tied to agreed deliverables or components, as outlined in the project’s SOW.
All payments are processed securely via Stripe. Prices are quoted in US dollars unless otherwise agreed in writing.
4. Refund Policy
- If work has not started: full refund of any payment made.
- If work has started but is not yet complete: 50% refund of the amount paid for the incomplete portion.
- If work has been completed and delivered: no refund is available.
This refund policy applies to project-based services. Refunds specific to TechFlow CRM subscriptions are covered separately in Section 8.
For Wikipedia & Content Authority services specifically, please note: fees for the Eligibility Audit and the research, drafting, and disclosed-submission work involved in Page Creation are payment for the service performed, not for a guaranteed outcome. As stated on our Wikipedia & Content Authority page, no agency can guarantee Wikipedia’s editorial approval. The refund tiers above apply based on work completed, regardless of Wikipedia’s ultimate editorial decision.
5. Cancellation
Clients may cancel an ongoing project or engagement at any time by notifying us in writing. Cancellation is subject to the Refund Policy in Section 4, based on the stage of work completed at the time of cancellation.
6. Intellectual Property
Intellectual property ownership depends on whether a Non-Disclosure Agreement (NDA) has been signed for the project:
- Where an NDA has been signed: SDTechnologist retains no ownership rights in the final deliverables. All intellectual property in the completed work transfers fully to the Client upon full payment.
- Where no NDA has been signed: SDTechnologist retains rights to the underlying frameworks, reusable components, and general methods used in delivering the work. The Client is granted rights to use, operate, and modify the specific deliverables provided to them for their business purposes.
In all cases, SDTechnologist retains the right to reference completed projects in its portfolio, case studies, and marketing materials unless the Client has requested confidentiality in writing.
7. Post-Launch Support
The scope and duration of post-launch support, if any, is defined in the individual project’s Statement of Work or contract. Where no support period is specified, ongoing support and maintenance can be quoted separately upon request.
8. TechFlow CRM Terms
Billing: TechFlow CRM is available on both monthly and annual billing cycles, with automatic renewal at the end of each billing period unless canceled in advance.
Free Plan: No credit card is required to start on the Free plan.
Cancellation and Refunds:
- You may cancel your TechFlow CRM subscription at any time.
- Monthly plans: no refund is provided for the current, already-active billing period.
- Annual plans: if canceled partway through the year, unused months are refunded on a pro-rated basis; the portion of the year already used is non-refundable.
9. Acceptable Use
You agree not to use our website or services for any unlawful purpose, to infringe on the rights of others, or to attempt unauthorized access to our systems or those of our clients.
10. Limitation of Liability
To the maximum extent permitted by law, SDTechnologist Ltd’s total liability arising out of or related to any service shall not exceed the total fees paid by the Client for that specific service in the twelve (12) months preceding the claim.
SDTechnologist Ltd shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, data, or business opportunity, even if advised of the possibility of such damages.
This limitation does not apply to liability arising from gross negligence, willful misconduct, breach of confidentiality obligations, or infringement of intellectual property rights.

Our services, including pricing estimators and AI-generated recommendations, are provided as planning tools and general guidance. They do not constitute guaranteed outcomes, professional legal or financial advice, or binding commitments outside of an agreed SOW. See our Disclaimer page for additional detail.
12. Governing Law and Disputes
These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of England and Wales, regardless of the Client’s location.
13. Changes to These Terms
We may update these Terms from time to time. Material changes will be reflected by an updated “Last updated” date at the top of this page. Continued use of our services after changes take effect constitutes acceptance of the revised Terms.
